By placing an order on our platform, you agree to comply with and be bound by the following Terms and Conditions of Sale. Please read these terms carefully before making any purchase.

1. Introduction

These Terms and Conditions govern the sale of products offered by Zuran on its website www.zuran.in (“Website”). The terms “you”, “your”, or “customer” refer to the person accessing or making a purchase from the Website. The products available for sale on the Website are sold by Zuran directly or by third-party vendors (“Vendors”).

2. Product Information

All product listings on Zuran represent an invitation to purchase, not an offer to sell.
Sellers are responsible for providing accurate and complete information about the Products they offer on the Marketplace, including but not limited to descriptions, images, pricing, and availability.
Zuran does not guarantee the accuracy or completeness of such information and is not liable for any errors or omissions.
Customers are advised to carefully review all product information before placing an order.

3. Product Availability

Product availability may vary, and items listed on the Website are subject to change without notice.
Sellers will make reasonable efforts to fulfill all orders, but cannot guarantee the availability of any particular Product.
In the event that a Product is unavailable, Sellers will notify the Customer and offer a suitable alternative or a full refund.

4. Pricing

Prices for Products are displayed on the Marketplace in Indian Rupees (INR).
All prices are included of applicable taxes, unless otherwise stated.
The prices of products may change from time to time, and we reserve the right to update product pricing without prior notice.
Any applicable discounts, offers, or promotional codes are applied at the time of purchase, and may not be combined with other offers unless specified. Only one discount can be applied per order.
The final price of your order will be confirmed at checkout before payment is processed.
Shipping charges, if any, will be added to the order total.

5. Order Placement

Customers can place orders for Products through the Marketplace by following the on-screen instructions.
All orders are subject to acceptance by the Sellers.
Sellers may refuse to accept any order for any reason, including but not limited to product unavailability, errors in pricing or product information, or suspicion of fraudulent activity.

6. Order Confirmation

Upon receipt of an order, Zuran will send an order confirmation email to the Customer.
This email will include order details, shipping information, and an estimated delivery date.
Please note that order confirmation does not guarantee product availability or shipment.

A contract of sale between you and Zuran is formed only when we send you an email notifying you that your order has been processed or shipped.

7. Payment and Transaction

Customers can make payments for orders through various secure online payment gateways, including credit/debit cards, digital wallets, UPI, net banking, and other secure payment systems, as available on the Website.

Payment must be made in full at the time of order placement.

By making a payment for an order, you confirm that the payment information provided is accurate, valid, and you have authorization to use the payment method.
Zuran does not store any customer payment information.
If we are unable to process your payment or the transaction is unsuccessful, we will notify you, and your order will not be processed. We reserve the right to cancel or refuse any order at our discretion, including in cases of fraud or errors in payment.

8. Our Contract

A contract between the Customer and the Seller is formed when the Seller accepts the Customer’s order.
The contract will incorporate these Terms and the specific details of the order, including the Products ordered, the price, and the delivery address.

9. Shipping and Delivery

Zuran will make reasonable efforts to ensure that orders are shipped and delivered to you as quickly as possible. Shipping costs and delivery times will be calculated at checkout based on your location and selected delivery method.
Delivery timelines are estimates and may vary depending on the destination, product availability, and external factors beyond our control, such as delays caused by third-party carriers or force majeure events.
Ownership and risk of the products pass to you upon delivery of the products to the specified shipping address.

10. Returns and Refunds

Returns are subject to the Seller’s return policy, which may vary depending on the Product.
Customers should carefully review the Seller’s return policy before placing an order.
To initiate a return, Customers must contact the Seller directly within the specified return window.
Returns must be made in their original condition and packaging.
Shipping costs for returns are typically borne by the Customer, unless otherwise agreed upon by the Seller.
Certain items, such as perishable goods and personalized products, are not eligible for return.
Refunds will be processed through the same payment method used during the original transaction, and may take up to 5-10 days, depending on your bank or payment provider.

11. Cancellations

You may cancel an order before it has been processed or shipped by contacting our customer service team. If the order has already been shipped, please refer to the return policy.
Zuran reserves the right to cancel orders at its discretion, including in cases of suspected fraud, incorrect pricing, or product availability issues.

12. Taxes

Sellers are responsible for collecting and remitting all applicable taxes on their sales, in accordance with Indian tax laws.
As per the MSME exemption, businesses with an annual turnover of up to INR 40 lakh are generally exempt from certain taxes.
Customers are responsible for paying any taxes that may be applicable to their purchase.

13. Product Warranties and Guarantees

Products sold on Zuran may come with warranties or guarantees offered by the manufacturers or vendors. Please refer to the product description or manufacturer’s warranty information for details on warranty terms and conditions.
Zuran does not offer warranties on products, but we facilitate any warranty claims that may arise under the manufacturer’s terms.

14. Children

The Marketplace is intended for use by adults only.
Children under the age of 18 are not permitted to make purchases on the Marketplace. If you are under this age, you may use Zuran only with the involvement of a parent or guardian.

15. Losses

Zuran shall not be liable for any losses or damages arising from the use of the Marketplace or the purchase of Products through the Marketplace, including but not limited to loss of profits, revenue, contracts, anticipated savings, data, goodwill, or wasted expenditure or any other indirect or consequential loss.

16. User Reviews and Feedback

You may provide reviews or feedback on products purchased on Zuran. By submitting a review or feedback, you grant Zuran the right to use, modify, and distribute your content for promotional or marketing purposes.
All reviews must comply with our guidelines and should not contain offensive, misleading, or defamatory language. Zuran reserves the right to remove any reviews that violate these guidelines.

17. Intellectual Property

All content on Zuran, including text, images, logos, graphics, and product descriptions, is protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, or distribute any content from the Website without prior written consent from Zuran.

18. Events Beyond Our Reasonable Control

Zuran shall not be liable for any failure or delay in fulfilling its obligations under these Terms and Conditions due to events beyond its reasonable control, including but not limited to natural disasters, flood, strikes, wars, government actions, pandemics, Industrial action, Internet disruptions or other circumstances that prevent us from processing or delivering your order.

19. Waiver

No waiver by either party of any right or remedy under these Terms shall be deemed a waiver of any other right or remedy.

20. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms and Conditions shall be resolved through binding arbitration in accordance with the applicable laws of India.
In the event of a legal dispute, both parties agree to attempt resolution through negotiation or alternative dispute resolution methods before pursuing any formal legal action.
Any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of Nagaon, Assam.

21. Modifications to the Terms of Sale

Zuran reserves the right to modify, amend, or update these Terms and Conditions of Sale at any time. Any changes will be posted on the Website, and the revised terms will be effective immediately upon posting. Your continued use of the Website after any changes signifies your acceptance of the updated terms.

Zuran Marketplace: Term and Conditions for Sellers

These Seller Terms and Conditions (“Agreement”) govern the relationship between sellers (“Sellers”, “you”, or “your”) and Zuran (“we”, “us”, or “our”), a digital platform that connects Sellers with customers through our online marketplace. By registering as a Seller and listing products on our platform, you agree to abide by these term and conditions.

1. Acceptance of Terms

By registering as a Seller and using the Zuran platform, you acknowledge and agree to be bound by these Seller Terms and Conditions, along with any applicable policies or guidelines that may be issued by Zuran from time to time. If you do not agree to these terms, you are not authorized to use the platform to sell your products.

2. Eligibility

To become a Seller on Zuran, you must meet the following requirements:

Sellers must be artisans, MSME vendors, or small businesses based in Assam or Northeast India.
Sellers must provide accurate and complete information during registration, including business details, contact information, and product descriptions.
Sellers must be at least 18 years old or have legal authority to represent their business.
Have a reliable shipping and logistics infrastructure, ensuring timely delivery of products to customers.

3. Product Listings

As a Seller on Zuran, you are solely responsible for:

Only eco-friendly, authentic, and high-quality products that align with Zuran’s mission and values are permitted.
Products must be handmade, sustainably sourced, or traditionally crafted, reflecting the cultural heritage of Assam and Northeast India.
Providing accurate and detailed descriptions, including dimensions, ingredients, materials used, and other relevant information about your products.
Ensuring that all products are compliant with applicable laws and regulations, including but not limited to health and safety standards.
Including high-quality images of your products that are accurate and reflective of the actual product being sold.
Adhering to Zuran’s prohibited and restricted product policies, which include items that are illegal, harmful, or do not comply with the cultural values and sustainability standards of the platform.

4. Verification Process:

Zuran reserves the right to verify the authenticity of sellers and their products.
Sellers may be required to provide additional documentation, such as proof of origin, artisan certifications, or business licenses.

5. Product Pricing

You have full control over the pricing of your products. All prices must be in Indian Rupees (INR).
You are responsible for setting fair and competitive prices. Zuran reserves the right to review and request adjustments to your pricing, particularly if it is found to be in violation of our marketplace guidelines.
Sellers are also responsible for setting any applicable taxes, customs duties, or other fees that may apply to products listed for sale.

6. Order Fulfilment and Shipping

As a Seller, you are responsible for ensuring timely processing, packaging, and shipping of customer orders in accordance with the delivery timelines set on your product listings.
Sellers must provide accurate and up-to-date information regarding shipping rates, tracking details, and delivery times.
All shipments must comply with local, national, and international shipping laws, regulations, and customs requirements.
Sellers must ensure that they provide appropriate customer service during the shipping process, including responding promptly to customer inquiries related to the status of orders.
Zuran may offer support in terms of logistics through third-party shipping providers, but Sellers remain responsible for the timely and safe delivery of goods to customers.
Sellers must use eco-friendly packaging materials whenever possible.

7. Payment and Commission

Zuran will process payments for products sold through the platform in accordance with the payment methods available on the platform. Payments will be made on a regular schedule, as determined by Zuran.
Zuran will retain a commission on each transaction, the percentage of which will be specified in the Seller Agreement. The commission may vary depending on the product category, sales volume, or promotional offers at the time.
You agree to pay all fees, taxes, and charges associated with selling on Zuran, including transaction fees, commission, and payment processing fees.
Zuran reserves the right to withhold payments in case of disputes, product issues, or non-compliance with platform policies.

8. Customer Service and Returns

As a Seller, you are responsible for addressing customer inquiries, issues, and complaints in a professional and timely manner.
You must honour Zuran’s Return and Refund Policy, which is designed to protect customers’ rights to request returns, exchanges, and refunds for defective or unsatisfactory products.
You agree to offer a resolution, including but not limited to providing replacements, refunds, or exchanges, in accordance with Zuran’s customer service standards.
Sellers must clearly communicate their own return, exchange, and warranty policies on the product listings, which must comply with applicable consumer protection laws.

9. Prohibited Activities

Sellers are prohibited from engaging in any of the following activities:

Listing counterfeit, misrepresented, or unauthorized products.
Using misleading or inaccurate product descriptions, images, or keywords.
Engaging in price gouging or unfair business practices.
Violating intellectual property rights, including trademarks, copyrights, and patents of third parties.
Offering products or services that violate Zuran’s core values of cultural integrity, sustainability, and ethical practices.
Engaging in fraudulent activities or violating any local or international laws.

10. Intellectual Property

As a Seller, you retain ownership of your intellectual property (such as product designs, trademarks, and content). By listing products on Zuran, you grant Zuran a non-exclusive, worldwide license to use your product images, descriptions, and other materials solely for the purposes of marketing, selling, and promoting your products on the platform.
You are responsible for ensuring that the products you list on Zuran do not infringe on the intellectual property rights of third parties. Zuran reserves the right to remove products and suspend or terminate Seller accounts that violate intellectual property laws.

11. Termination of Seller Account

Zuran reserves the right to suspend or terminate any Seller account for failure to comply with these terms and conditions, including failure to meet product standards, violations of prohibited activities, or engaging in unethical business practices.
Sellers may terminate their account at any time by providing notice to Zuran, but remain responsible for any outstanding orders or liabilities incurred before termination.
Upon termination, the Seller will no longer have access to the platform for listing products, and any pending payments will be processed in accordance with Zuran’s policies.

12. Dispute Resolution

Any disputes between Sellers and Zuran or between Sellers and customers will be addressed in accordance with Zuran’s dispute resolution procedures.
If a dispute arises, Sellers agree to work in good faith to resolve the matter with Zuran or the relevant parties.
Zuran may, at its discretion, mediate or facilitate dispute resolution to maintain a fair and transparent marketplace.

13. Limitation of Liability

Zuran shall not be held liable for any indirect, incidental, consequential, or punitive damages arising from the use of the platform, product sales, or any related activities.
Sellers acknowledge and accept that Zuran is merely a platform facilitating the sale of products and is not responsible for any issues related to product quality, delivery, or customer satisfaction.

14. Confidentiality

Seller Information: Zuran will treat all seller information as confidential and use it solely for platform-related purposes.
Zuran’s Information: Sellers must not disclose any confidential information about Zuran, including business practices, customer data, or technical details

15. Amendments to Terms

Zuran reserves the right to amend or modify these Seller Terms and Conditions at any time. Any changes will be communicated to Sellers, and continued use of the platform will be considered acceptance of those changes.

16. Governing Law and Jurisdiction

These Seller Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Assam, India.
